Ed represents individuals, family businesses, and corporations on commercial transactions, environmental matters, and civil litigation.

Ed advises individuals and companies on entity formation, business operations and management, risk management, environmental due diligence, and partner and member buyouts. Ed has significant transactional experience, participating in the purchase and sale of more than one hundred facilities, including oil refineries, pulp mills, wood product mills, and contaminated properties. Ed also helps businesses negotiate and draft contracts for a variety of commercial purposes. Such contracts include purchase and sale agreements, consulting agreements, operating agreements, construction agreements, and license agreements, among others.

Ed advises companies on environmental compliance and regulatory issues. He assists companies on complex hazardous waste management, recycling, and disposal matters, as well as defends such companies against alleged violations of state and federal hazardous waste laws. Ed also advises businesses on storm water management and permitting issues.

Ed represents companies at contaminated sites, defending claims for cost recovery and contribution by state and federal agencies and private parties. Ed also pursues Superfund and related claims against potentially responsible parties and has collected funds for reimbursement of cleanup costs. Ed has represented clients at a wide variety of contaminated sites, including landfills, industrial properties, and sediment sites.

Ed has successfully defended individuals and small businesses in federal and state court against claims for fraud, breach of contract, and negligence. Ed also occasionally partners with other solo or small firms representing clients in complex civil litigation, including fraud, breach of contract, breach of fiduciary duty, business interference, and trade secret claims.


Ed is licensed to practice law in Oregon. Ed is admitted to the United States District Court for the District of Oregon, the Central District of California, and the Northern District of California.


Ed majored in Microbiology and Immunology at McGill University. Ed trained as a nuclear engineer and submarine officer in the U.S. Navy, and served on an attack submarine. During his shore tour, Ed supervised all environmental compliance and cleanup programs at a major U.S. Navy base in San Diego, California.

Ed attended UCLA School of Law. While at UCLA, Ed spent a summer at the Office of Regional Counsel, EPA Region IX and externed in the environmental section at the California Department of Justice, Office of the Attorney General.
